Decide-By is not the renewal date

Decide-ByThe notice period counted back from the date the notice clause names, often the end of the term. Past this date, the next term is already locked in
RenewsThe date on the document. By itself, it tells you nothing about whether you still have a choice

A renewal weeks away can already be decided. The Decide-By column is the one worth watching.

How to build a contract renewal tracker

A contract renewal tracker lists every agreement your business has signed, one row each. Each row holds the terms that commit you: the annual cost, the end or renewal date, whether the contract renews automatically and the notice needed to stop it. A good tracker also shows the decide-by date (the last day to give that notice) and the duties each contract creates between renewals.

Watch that decide-by date, not the renewal date. Once the notice deadline passes, the renewal is locked in, even if the new term starts weeks later.

Find every contract first

Start with a search, not a spreadsheet. Contracts collect in email attachments, e-signature accounts, shared drives, vendor portals and filing cabinets. Then check 12 months of bank and card statements to catch yearly charges. Every recurring charge has an agreement behind it, even if you only clicked to accept it.

Include every kind: leases for space and equipment, insurance policies, loans, NDAs, and agreements for software, services, supplies, payroll and payment processing. For each one, gather the main agreement and every order form, amendment and renewal letter. Save a dated copy of any online terms it points to, since those can change.

Read the order form closely, because it often holds the numbers that matter. Common Paper, which makes contract software, publishes a free cloud service agreement that renews automatically by default. Its standard terms leave the notice period as a blank on the order form1. In the company's benchmark, 90% of these agreements keep automatic renewal, and 84% of those require 30 days' notice.

Record each contract in your renewal tracker

Fill in each row from the signed pages, not from memory, and note the section every fact came from. If a contract doesn't say something, leave the cell blank and ask the other side. A blank cell gets chased, but a guess gets trusted.

Put every cost on one yearly basis so you can rank them, counting a loan as its payments for the year. Rent of $3,000 a month becomes $36,000, and 25 software seats at $40 a month become $12,000. For a long agreement, a one-page contract summary that dates every obligation makes the row quicker to fill in.

Work out the decide-by date

For each automatic renewal, count back the notice period from the date the clause names, often the end of the current term. A term ending September 30 with 60 days' notice must be decided by August 1. Counting from the October 1 renewal date gives August 2, a day late. Check whether the clause counts calendar or business days, then track the right date for each type:

  • Automatic renewal: decide by the notice deadline, or it renews for another term.
  • Fixed term: note the end date, plus any window to extend or buy.
  • Option to renew, such as in a lease: send notice in time, or the option lapses.
  • Month to month: no deadline, but record the notice needed to leave.
ExampleReading a real renewal clauseSalesforce's standard Main Services Agreement, section 11.2, version of October 15, 2026 · Read the full agreement

Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional one year terms, unless either party gives the other written notice (email acceptable) at least 30 days before the end of the relevant subscription term.

Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at SFDC’s applicable list price in effect at the time of the applicable renewal.

  • Decide-by date. For a term ending June 30, notice is due by May 31. Email counts.
  • Renewal term. Each renewal adds one year unless your order form says otherwise.
  • Renewal price. Unless the order form says otherwise, a promotional price renews at list price. Record both.

Then read the notices clause: how notice must be sent, to which address and when it counts. In the same agreement, a mailed notice takes effect on the second business day after mailing2. Send yours a week early, by a method you can prove, and keep the receipt.

Track the duties between renewals

Renewal dates aren't the only clocks in a contract. Read each contract again for things you must do on a schedule. List them separately, each with how often it's due, its clause and what a miss costs.

  • A certificate of insurance your landlord asks for every year
  • A minimum monthly purchase that keeps your price tier
  • Quarterly reports or financial statements owed to a lender
  • Telling your insurer within a set time when you add vehicles or sites
  • Returning leased equipment, or exporting your data, before access ends

Software exits need a date of their own. Salesforce's agreement makes your data available for export only if you ask within 30 days after it ends2; after that, Salesforce has no obligation to keep it. Put the export date beside the end date. Leases carry many of these duties, and a commercial lease review lists every date you must act by.

Review it monthly and decide in time

Notice periods differ, so a yearly review misses deadlines that fall in between. Once a month, update the days left on every row and sort by decide-by date. Give each contract due within 30 days an owner and one of three decisions: renew as is, renegotiate, or give notice.

Treat each renewal as a chance to fix the deal. In a 2023 report with Deloitte, World Commerce & Contracting, a nonprofit association for contracting professionals, drew on data from more than 1,200 organizations. It estimated that weaknesses in how contracts are formed and managed cost an average of 8.6% of contract value3.

On the contracts that matter most, start 90 days before the decide-by date, since replacing a key supplier takes time. Check the vendor's record against the contract's service levels first with a vendor performance review. Send any notice exactly as the contract asks, get written confirmation, and update the row that day.

Before each decide-by date

  • You have the signed contract and every amendment
  • The date allows for mailing time and business days
  • You know the renewal price, including any increase
  • One person owns the decision, and it's written down
  • Notice went to the right address by the right method, with proof kept
  • Data exports and equipment returns have dates

Know what the law will and won't do

Assume a missed deadline means another full term. In the US, some state laws protect business customers, but only for certain contracts. In New York, a lease of equipment or other personal property4 can't renew automatically unless the lessor warns you first. A contract for service, maintenance or repair5 of property gets the same protection.

The warning must be in writing, point out the renewal clause and be given 15 to 30 days before your notice deadline. Neither rule covers renewals of a month or less.

When to involve a lawyer

Talk to a lawyer before relying on a state law to escape a renewal, if a vendor rejects your notice, or before a large renewal with new terms. This is general information for US readers, not legal advice.

Licenses, permits and tax filings have deadlines too, so keep them on a small business compliance calendar. To build your register from the signed documents faster, open this template in River with Edit with AI.

How to use this template

Use the files as they are, or open them in River. They come filled in for a made-up trucking company, so you can see the method before you clear them. With Edit with AI, River asks for every signed agreement you can find, as PDFs, scans or email attachments, along with any amendments and today's date.

It fills in the register from each document's own wording and notes the section behind every figure. Where a document is silent, it leaves the cell blank and notes the question to raise. Then it works out each decide-by date, flags renewals already locked in or due within 30 days, lists the recurring duties and totals your annual spend.

  1. Download it or open it in River

Get the two Word documents and four CSV sheets free, or open the template in River and start with your contracts.

  2. Gather every signed contract

Collect leases, insurance policies, loans, software and supplier agreements, with their order forms and amendments, from wherever they're kept.

  3. Fill in the register and dates

Record each contract's cost, renewal terms and notice period from the document, or let River do it, then work out every decide-by date.

  4. Review it every month

Re-sort by decide-by date, give anything due within 30 days an owner and a decision, and send notice the way the contract asks.

Common questions

What should a contract renewal tracker include?

A contract renewal tracker should give every signed agreement a row showing the other party, annual cost, end date, renewal type, notice period and decide-by date. Note how notice must be sent, who owns the decision and the section each fact came from. Keep recurring duties, like reports or insurance certificates, in a separate list with their own due dates.

What is an automatic renewal clause?

An automatic renewal clause, sometimes called an evergreen clause, extends a contract for another term unless one side gives notice by a deadline. The notice period might be 30 days or six months, and it's often counted from the end of the current term. If you miss it, expect another full term at the price the contract sets.

How far ahead should I set renewal reminders?

Set the first reminder at least 30 days before the decide-by date, not the renewal date. For contracts you might replace or renegotiate, add an earlier one 90 days out, since finding and switching to a new supplier takes time. Then review the whole tracker monthly, so deadlines that fall between reminders still get caught.

What happens if I miss a contract's notice deadline?

Usually the contract renews for another term on the terms already in it, and you owe the fees. It costs nothing to ask the vendor for a shorter term or a smaller plan. Some state laws, like New York's for equipment leases and maintenance contracts, make a renewal unenforceable if the vendor didn't warn you first. Ask a lawyer before refusing to pay.

Do I need contract management software to track renewals?

Most small businesses don't need contract management software to track renewals. A spreadsheet with one row per contract, a decide-by column and a monthly review handles a few dozen agreements well. Software earns its cost once you have hundreds of contracts or many people signing them. Either way, the dates are only as good as the documents behind them.

Is this contract renewal tracker template free?

Yes. Download the two Word documents and four CSV sheets with no signup. They come filled in for a made-up trucking company with nine contracts, so you can see how the dates and totals work before you clear them. Edit with AI opens the same template in River.

What does Edit with AI do?

It opens the template in a free River workspace. River asks for your signed agreements, amendments and today's date, then fills in the register from what each document says, citing the section. It leaves a field blank rather than guess, works out every decide-by date and flags renewals already locked in. It isn't legal advice.
