About this document

A Series Seed term sheet is a short summary of the main terms of a priced seed round, in which investors buy Series Seed preferred stock at an agreed valuation. This is the Series Seed term sheet in the version Cooley maintains (equity documents version 1.04), shown word for word as Cooley publishes it.

Use the Series Seed term sheet to agree price, board seats and investor rights with your lead investor before the Series Seed investment agreement and restated certificate are drafted. For a round on notes instead of stock, use the convertible note term sheet. Signing the Series Seed term sheet starts a 30-day period in which the company agrees not to seek other financing offers.

How to fill it in

  1. Set the amount and valuation. Fill in the amount raised, the pre-money valuation and the option pool percentage, and choose whether convertible securities count in the pre-money shares.
  2. Decide board and investor rights. Enter how many board seats common and preferred holders elect, and the minimum investment that makes a purchaser a Major Purchaser with information and participation rights.
  3. Resolve the bracketed choices. Keep the bracketed wording you and the lead investor agree, such as the legal fee cap, and delete the rest.
  4. Sign with the lead investor. The company and the lead investor sign and date the signature block. Have your company's lawyer review the terms before you sign, because the 30-day no-shop and confidentiality terms bind you once you sign.

Frequently asked questions

Is a Series Seed term sheet binding?

Mostly no. The Series Seed term sheet says that only its "Binding Terms" section is legally binding: a 30-day period in which the company won't seek other financing offers, and confidentiality of the terms. The price, board seats and investor rights bind no one until the parties sign the definitive documents, such as the investment agreement and the restated certificate of incorporation.

What is the difference between a priced seed round and a SAFE?

A priced seed round sells preferred stock now at a set valuation, so investors become stockholders at closing. A SAFE (simple agreement for future equity) gives investors a right to shares later, usually at the next priced round, and sets no valuation today beyond any cap. Priced rounds need more documents, such as a restated charter and consents.

What does a 1x liquidation preference mean?

A 1x liquidation preference means preferred holders get their money back first, one times what they paid plus declared but unpaid dividends, if the company is sold or wound up. Whatever is left goes to common stockholders. The Series Seed term sheet treats a merger or similar transaction as a liquidation.
