About this document

A Series Seed board consent is a written action, signed by every director, that approves a Series Seed preferred stock round without holding a board meeting. This is the Series Seed board consent in the version Cooley maintains (equity documents version 1.04), shown word for word as Cooley publishes it.

The Series Seed board consent approves the restated certificate of incorporation, the investment agreement and the sale of shares. Stockholders then approve the certificate with the Series Seed stockholder consent. For routine decisions outside a financing, use the board written consent for routine actions. The consent's own note warns that changes to the board or option pool need extra resolutions.

How to fill it in

  1. Fill in the company details. Enter the company name, the number of Series Seed shares, the price per share and the common shares reserved for conversion, matching the investment agreement.
  2. Add any extra resolutions. If the round changes the board or the option pool, add resolutions for those changes, as the bracketed note at the top explains, then delete the note.
  3. Attach the exhibits. Attach the final restated certificate as Exhibit A and the investment agreement as Exhibit B, so directors approve the exact versions.
  4. Have every director sign. Every director signs and dates the consent; one missing signature means the action isn't unanimous. File it with the board minutes. Ask your company's lawyer to confirm the resolutions cover the whole round.
Series Seed Board Consent

[Please note that the following resolutions do not cover all matters that may need to be addressed in connection with the financing. For example, if any changes to the Company's Board of Directors are contemplated, or the size of the option pool will be changed, additional resolutions will be needed in this Board Consent and/or the Stockholder Consent. Always consult with counsel prior to using the consents.]

Frequently asked questions

What is a unanimous written consent of the board?

A unanimous written consent is a board decision made in writing instead of at a meeting, signed by every director. Delaware allows it under Section 141(f) of the General Corporation Law unless the charter or bylaws say otherwise. Other states have similar rules, so check your state's law for companies formed elsewhere.

Does a seed round need both board and stockholder approval?

Usually yes, when the round creates preferred stock through a restated certificate of incorporation. Delaware requires the board to approve a charter amendment and then stockholders to adopt it before it is filed. That is why the Series Seed documents include both a board consent and a stockholder consent.

When should the board consent be signed?

Before the closing. The board has to approve the restated certificate of incorporation before the stockholders adopt it and before it is filed with Delaware, and it must authorize the new shares before any are issued. Most companies collect the board and stockholder signatures in the days just before the closing.
