About this document

A Series Seed stockholder consent is a written action in which stockholders approve the steps of a Series Seed round, chiefly the restated certificate of incorporation, without a stockholder meeting. This is the Series Seed stockholder consent in the version Cooley maintains (equity documents version 1.04), shown word for word as Cooley publishes it.

Use the Series Seed stockholder consent after directors sign the Series Seed board consent, and before the restated certificate is filed. Holders of enough shares to meet your charter and Delaware law must sign. The consent says it becomes effective after board approval, but no more than 60 days after the earliest signature is delivered.

How to fill it in

  1. Check who must sign. Use your cap table to confirm which stockholders hold the votes your current charter and Delaware law require to adopt the restated certificate.
  2. Fill in the company details. Enter the company name and the share numbers so they match the restated certificate and the board consent.
  3. Attach the exhibits. Attach the final restated certificate as Exhibit A and the investment agreement as Exhibit B.
  4. Collect signatures promptly. Gather all signatures within 60 days of the first one, then file the restated certificate. Ask your lawyer whether stockholders who didn't sign must be notified.

[Please note that the following resolutions do not cover all matters that may need to be addressed in connection with the financing. For example, if any changes to the Company's Board of Directors are contemplated, or the size of the option pool will be changed, additional resolutions will be needed in this Board Consent and/or the Stockholder Consent. Always consult with counsel prior to using the consents.]

Frequently asked questions

Can stockholders approve something without a meeting?

Yes, in a Delaware corporation, unless the charter says otherwise. Section 228 of the Delaware General Corporation Law lets holders of at least the votes needed at a meeting act by signed written consent. The company must then promptly notify stockholders who didn't consent.

Why does a written consent have a 60-day limit?

A 60-day limit applies because Delaware law makes a written consent ineffective unless enough signed consents are delivered within 60 days of the first one. If signatures take longer, the early ones expire and must be collected again.

Which stockholders need to sign the consent?

Enough holders to meet the vote the action needs. Amending the charter in Delaware usually needs a majority of the outstanding voting stock, and the existing charter or investor agreements may add separate class votes or approval rights. Check those documents, then collect signatures from holders who together meet every required vote.
