What should an investment memo include?
An investment memo should include a recommendation with the check size and price. After it come the company, its market and competitors, the team, the key numbers with their sources, the main risks, and the terms and return case. It ends with the decisions the committee is asked to make and any documents still outstanding.
How long should an investment memo be?
Long enough for a partner who missed every meeting to vote from it, and no longer. In a study of 67 venture capital investments by the economists Steven Kaplan and Per Strömberg, memos ran from two-page write-ups to more than 20 pages. Early deals with little data run short; later rounds with a full data room need more.
Who writes the investment memo?
Usually the partner sponsoring the deal, sometimes with an associate doing much of the analysis. It goes to the other partners on the investment committee before they vote. If the firm invests, the memo becomes the record of what it expected, which helps when the firm reviews the investment later.
What is the difference between a deal memo and an investment memo?
Often nothing: many firms use the two terms for the same document. Where they differ, a deal memo is a short early write-up on whether to pursue a company, and the investment committee memo is the full case the partners vote on. Either way, use the same structure and mark any figure you don't have yet as absent.
Is this investment memo template free?
Yes. The four Word documents and three CSV sheets download free, with no signup. They come filled in with a made-up Series B company, so you can see how every part works before replacing it with your own deal. Edit with AI opens the same template in River.
What does Edit with AI do?
It opens the template in a free River workspace and asks for your deck, model, data room, reference call notes and proposed terms. River builds the Metric Summary first, recomputes each headline figure on the definition your documents support, and tells you which gaps move the price. Missing figures become requests, never estimates.
Does the template value the company or decide whether to invest?
No. It sets out what the documents establish, what was derived and what is missing, and it applies a comparable set's median multiple to both revenue figures beside the proposed price. Setting the price and voting are judgments for your partners, and nothing here is legal, tax or investment advice.
