The once-a-year close tasks in order, plus draft statements, a map from accounts to statement lines, a note-by-note disclosure check and the tax package.
[Entity] — last year's statements read as a specification
Not a template to overtype. A list of the captions this entity reports and the notes it discloses, each one there because a condition was met.
Two directions, and neither one is optional
Direction
The test
What it finds
Accounts to captions
Every account in the December trial balance lands in exactly one caption
An account with no caption. A decision nobody has made yet
Captions to accounts
Every caption in last year's statements is fed by at least one account
A caption with no account. A comparative column about to be restated by accident
Running one direction and not the other is the normal failure. The first finds what the business started doing this year. The second stops you deleting a line from a year that was already issued.
Presentation turns on a share, not a preference
class
÷

vs
threshold
Computed for both years, with the verdict recorded either way. A class that crossed the threshold this year comes out onto its own line, and the prior-year column gets re-cut into the new presentation. That second half is the step that gets skipped.
Every note carries two things, or it cannot be re-tested
A source number
The one number the note exists to communicate
A condition
What made the note required. A balance existing, a share crossed, a claim accrued, an asset pledged
Four verdicts, and every note gets exactly one
Changed
Condition holds, number moved, note rewritten
Unchanged
Condition holds, number inside the trigger. Recorded as a decision
Dropped
Condition ended. Note leaves the current year, stays in the comparative
Added
A condition that did not hold last year holds now
Added is the verdict a rolled-forward file can never reach. A file holds the notes somebody already wrote, and nothing inside it asks whether one is missing.
Stale blocks the draft

text unchanged from last year
Not wrong yet. Not read yet. The trigger is stated as a percentage before anyone knows which notes will fail it, and the block clears when the note is rewritten or reaffirmed with a reason.

How to do a year-end close
A year-end close is the last monthly close of your fiscal year, plus the work that happens only once a year. That means annual adjusting entries, financial statements (usually with last year's figures beside this year's), the notes that explain them, and the package your tax preparer needs. A good year-end close checklist covers only that annual work, in the order it has to happen, with an owner, a due date and evidence for each task.
One principle matters most: treat last year's issued statements as a specification, not a file to type over. Every line and note in them was there for a reason, and the close checks that each reason still holds.
This year's close starts from last year's statements and working papers. Photo: Cht Gsml on Unsplash
What goes on a year-end close checklist
Close December like any other month first, with your month-end close checklist. The year-end list then holds only what happens once, ordered by what each task waits for.
The once-a-year work, in order
Stage
What it covers
Gather
Last year's statements and tax return, and this year's trial balance by account
Adjust
Inventory count, reserve true-ups, the fixed asset rollforward, bonuses and loan splits
Map
Every account to one line on last year's statements, and back again
Draft and tie
Four statements with last year's column, then four ties
Notes
Each of last year's notes re-tested, new ones added, subsequent events last
Tax
The book-to-tax reconciliation and what your preparer needs
File
The account map and note register, kept with the issued statements
Then date each stage, working back from outside deadlines, including any date your loan agreement sets for annual statements. In the US, a C corporation's federal return is generally due by the 15th day of the fourth month1 after year end, April 15 for a calendar year. An S corporation's is due a month earlier2. Form 7004 extends the time to file, not to pay.
Post the annual entries and tag them for tax
Post the adjustments listed above, then split every loan. Rice University's free OpenStax textbook treats the part of a note due within the current period, typically a year3, as current and the rest as noncurrent. The split moves the current ratio on any covenant certificate you sign.
Tag each entry as you post it: temporary, permanent or neither. A temporary difference between book and tax income will reverse in a future tax year4, in the words of the IRS's Schedule M-3 instructions. A permanent one never will.
A bigger bad-debt allowance is temporary, because a corporation deducts bad debts only as they become worthless1. Generally, fines paid to a government and half the cost of business meals are never deductible, so both are permanent. Record meals apart from entertainment: the IRS generally disallows entertainment, and meals not stated separately from it, in full.
Map the trial balance in both directions
List every caption, meaning each named line on the face of last year's statements. Then map the December trial balance onto that list, account by account, in both directions.
1
Give every account one caption
An account with nowhere to go often shows what changed: a new product line, a new loan, an asset sold. Decide where it goes and write down why.
2
Give every caption an account
If a caption from last year has nothing feeding it now, keep it, with last year's figure and a dash. Deleting it quietly changes a year that was already issued.
3
Set a threshold for revenue lines
Regulation S-X, which governs statements filed with the SEC, lets a revenue class of 10% or less of the total5 be combined with another. Write yours down before you compute any shares.
4
Re-cut last year's column
When a class crosses your threshold, split last year's figure the same way so the years compare, and say so in the notes.
Draft the statements, then make them tie
Draft the balance sheet, income statement, equity statement and cash flow statement from the mapped trial balance, both years side by side. Then run four ties and record every result, zeros included. A blank looks like a tie nobody ran.
The four ties
Tie
This
Must equal
Balance sheet
Total assets
Total liabilities plus equity
Retained earnings
Opening retained earnings, plus net income, minus dividends
Closing retained earnings
Cash
Ending cash on the cash flow statement
Cash on the balance sheet, plus any restricted cash
If a tie is off, halve the difference and look for an entry that size with the wrong sign. A $300,000 loan repayment entered as a draw throws the cash tie off by $600,000.
Re-test every note against this year's numbers
Notes go stale quietly, because last year's wording still reads well. For each note, write down the one number it's about and the condition that made it necessary. Update both for this year, then mark the note changed, unchanged or dropped, and add a note for any condition that's new.
Set a trigger before you look, say a 10% move in that number. A note whose number moved past it while its text stayed word for word is stale. Hold the draft until someone rewrites it or records why it stands.
ExampleA stale note, caughtAn illustrative example written for this guide.
Carried forward from last year: "The Company is defending a claim by a former distributor and has accrued $340,000, its best estimate of the loss."
This year's ledger: the claim settled in March, and the accrual is zero.
Rewritten: "In March 2026 the Company settled the former distributor's claim. Nothing is accrued at December 31, 2026."
A 100% fall. Any trigger catches an accrual that fell to zero.
The same words. Nothing else in the close flags an unchanged paragraph.
Some conditions never post a journal entry: an amended credit agreement can pledge your receivables and inventory. For SEC filers, Regulation S-X requires assets mortgaged, pledged, or otherwise subject to lien7 to be named with approximate amounts. Ask every year whether anything new was pledged.
Match the policies note to your accounting policy manual, and update the manual first if a policy changed.
Build the book-to-tax reconciliation from your tagged entries, each line naming the entry it came from. As a check, temporary differences times your tax rate should equal the change in deferred taxes, unless the rate, a valuation allowance or a loss carryforward moved. If an outside CPA prepares the return, the year-end tax package tool drafts what they'll ask for.
Last, file the caption map and note register with the issued statements. Next year's close starts from them.
Bring in your CPA early
This is general US practice, not advice for your company. After a new line of business, a refinancing or a sale, call your CPA or auditor before you draft, not after.
Before the drafts go out
Every account has one caption, and every old caption is fed or kept with a dash
Last year's column is re-cut wherever presentation changed
All four ties are recorded, zeros included
Every note has a verdict, and none is stale
Subsequent events are reviewed up to the day the statements go out
The template on this page holds the 28 annual tasks, a caption map and a note register, filled in for a made-up manufacturer. Open it with Edit with AI and River maps your trial balance onto last year's statements, both ways. The audit preparation checklist then takes the drafts into fieldwork.
How to use this template
Use the files as they are, or open them in River. River asks for last year's issued statements first and copies every caption and note into the Caption Map and Disclosure Register. Then it maps your year-end trial balance onto them both ways and lists the accounts with nowhere to go and the captions left empty. Nothing gets drafted until you've decided each one.
1
Download it or open it in River
Get the three Word documents and five CSV sheets free, or open the template in River to work with AI.
2
Send last year's statements first
Add last year's issued statements and tax return, and your trial balances by account for both years.
3
Close the caption map
Decide where each new account goes and keep last year's empty captions, until no dollars are left unmapped.
4
Draft, tie and re-test
Draft the statements and record every tie yourself, or ask River to, then re-test each note and build the tax package.

Services were 6.8 percent of revenue in FY2025, inside the company's ten percent threshold, so combining them was correct. At 12.9 percent the class comes out onto its own line, and the prior-year column has to be re-cut into the same three-way split or the two years do not compare.
Rentals are the interesting one. At 4.2 percent they could have been combined. They are separated by election, because the fleet sits on the balance sheet at 1,247,300 and folding its revenue into product sales makes the margin on products unreadable. The reason goes on the record next to the share.
The threshold is set before the shares are computed. A threshold set afterwards is a preference wearing a number, and it will move again next year.

The three stale notes, each for a different reason
Receivables. The allowance moved 19.7 percent and the paragraph still stated last year's 6.0 percent rate against trade receivables. The current rate is 5.9 percent. Nobody would call it a misstatement. It is a sentence that stopped being arithmetic and became a habit.
Contingencies. The claim accrued at 340,000 was settled and released on 11 March 2026. The note was carried forward verbatim, so the first draft told a reader the claim was unresolved, under a 31 December 2026 heading, on statements where the accrual reads zero two pages earlier.
Concentrations. Last year's note named one customer at 14.2 percent of revenue. That customer is at 8.9 percent now and is no longer disclosable. Two different customers are over the threshold, at 11.8 and 10.4 percent. The note's shape did not change at all, which is why nothing prompted anyone to reread it.
The related party row matters as much as the three that failed. Without it, a note nobody looked at is indistinguishable from a note that was checked and stands.

Both are places the provision and the return disagree without either document showing it. A permanent difference on one and not the other means the effective rate the statements report and the taxable income the return reports disagree about the same fact, and neither reader can see the other's schedule.

Common questions
What should a year-end close checklist include?
Only the work that happens once a year. That means gathering last year's statements and return, annual adjusting entries, mapping accounts to statement captions, drafting and tying the statements, re-testing every note and assembling the tax package. Give each task an owner, a due date and the evidence it leaves, and keep routine monthly tasks on your monthly checklist.
How is a year-end close different from a month-end close?
A month-end close makes one month's books complete and accurate. A year-end close also produces what only a full year needs: statements with comparative figures, notes, closing entries into retained earnings and a reconciliation of book income to taxable income. Run December's monthly close first, then work through the annual list.
Why keep a caption that has no balance this year?
Because last year's column still needs it. A line that is empty this year stays, with a dash for this year beside last year's amount. Deleting it means moving last year's amount into another line, which changes a year lenders, investors and auditors have already relied on. If you do reclassify it, say so in the notes.
Do private companies have to follow the SEC's 10% revenue rule?
No. Regulation S-X applies to financial statements filed with the SEC. A private company can still adopt the same 10% test as a written policy. Then the decision to give a revenue class its own line is made the same way every year, and it is easy to explain to a lender or auditor.
Is this year-end close checklist template free?
Yes. Download the three Word documents and five CSV sheets with no signup. They come filled in with a made-up manufacturer's year end, so you can see how each file works before you clear it. Edit with AI opens the same template in a free River workspace instead.
What does Edit with AI do?
It opens the template in a free River workspace. River asks for last year's issued statements and tax return, plus your trial balances by account for both years. It also asks three questions about what changed. Then it lists every caption and note, maps your accounts both ways and waits for your decisions on anything unmapped.
Is this accounting or tax advice?
No. The template and River's drafts are working papers for you and your accountant. The tax points on this page are general US federal rules, and state rules differ. Presentation and disclosure decisions belong to whoever signs the statements, so take questions about a specific treatment to your CPA or auditor.
